END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legally binding agreement between you (“User,” “you,” or “your”) and Virya LLC (“Company,” “we,” “us,” or “our”), governing your use of the SeptaSync mobile application and website (collectively, the “Application” or “Service”).

The Application is available on the Apple App Store and Google Play Store and may also be accessed via our website at https://septasync.com.

By downloading, installing, accessing, or using the Application, you agree to be bound by this Agreement. If you do not agree, you must not use the Application.

1. LICENSE GRANT

Subject to your compliance with this Agreement, Virya LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download, install, and use the Application on a device you own or control

• Use the Application strictly for personal, non-commercial purposes

This license does not transfer ownership of the Application to you.

2. APP STORE TERMS

If you download the Application from the Apple App Store, you acknowledge that this Agreement is between you and Virya LLC, not Apple. Apple is not responsible for the Application or its content.

If you download the Application from the Google Play Store, this Agreement remains solely between you and Virya LLC. Google is not responsible for the Application or its support.

You agree to comply with all applicable third-party terms when using the Application.

3. INTELLECTUAL PROPERTY RIGHTS

The Application, including but not limited to:

• Audio tracks and binaural content

• Software code

• Design, graphics, and layout

• Text, logos, and branding

• Trademarks and trade names

These are the exclusive intellectual property of Virya LLC and are protected by copyright, trademark, and other intellectual property laws.

You acknowledge and agree that:

• The Application, its contents, and our trademarks are our exclusive intellectual property.

• You acquire no ownership rights by using the Application.

4. RESTRICTIONS

Users are NOT permitted to:

• Sell, rent, lease, transmit, host, sublicense, or otherwise commercially exploit the Application

• Copy or use the Application for any purpose other than personal, non-commercial use

• Modify, adapt, alter, translate, or create derivative works

• Decrypt, reverse compile, reverse engineer, or attempt to extract source code

• Remove copyright, trademark, or proprietary notices

• Use the Application in any unlawful or unauthorized manner

Violation of these restrictions may result in immediate termination of your license.

5. USER ACCOUNTS

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate and complete information

• Maintain the confidentiality of your login credentials

• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate this Agreement.

6. PERSONAL INFORMATION

The Application collects personal information from users as described in our Privacy Policy.

By using the Application, you acknowledge and agree that:

• The Application collects personal information

• Your data will be processed in accordance with our Privacy Policy

• You have reviewed and accepted our Privacy Policy

7. FEEDBACK & SUGGESTIONS

If you provide feedback, ideas, suggestions, or recommendations regarding the Application:

• You grant us a worldwide, perpetual, irrevocable, royalty-free right to use, modify, implement, and incorporate such feedback without restriction.

• We are not obligated to compensate you for any feedback provided.

Yes, we may implement any feedback or suggestions we receive.

8. UPDATES AND MODIFICATIONS

We may regularly update the Application with:

• New features

• Performance improvements

• Security patches

• Bug fixes

You agree that updates may modify or remove certain features. Continued use after updates constitutes acceptance of changes.

Some updates may be installed automatically depending on your device settings.

9. SUBSCRIPTIONS & PAYMENTS

Certain features may require payment or subscription.

Subscription terms, billing cycles, and cancellation policies are provided at the time of purchase and are governed by the respective app store billing policies where applicable.

10. MEDICAL DISCLAIMER

The Application provides binaural audio content intended for relaxation, focus, meditation, and entertainment purposes only.

It is not medical advice, diagnosis, or treatment.

Do not use the Application:

• While driving

• While operating heavy machinery

• During activities requiring full attention

If you have a medical condition (including epilepsy, heart conditions, or mental health concerns), consult a healthcare professional before use.

11. DISCLAIMER OF WARRANTIES

The Application is provided “AS IS” and “AS AVAILABLE.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

• Uninterrupted or error-free operation

We do not guarantee that the Application will always be secure or free from bugs.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Virya LLC shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages

• Loss of profits, data, or goodwill

• Service interruptions or technical failures

Our total liability shall not exceed the amount you paid (if any) for the Application in the preceding 12 months.

13. TERMINATION

This Agreement remains effective until terminated.

We may terminate or suspend your access immediately if you violate this Agreement.

Upon termination:

• Your license to use the Application ends

• You must cease use and delete the Application

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
